REQUEST A QUOTE

The agreement between the Seller and Purchaser is formalized upon the Seller’s written acceptance of the Purchaser’s order, which signifies the Purchaser’s agreement to waive their own terms and conditions. Additional terms cover inspection of Products upon receipt, limitations on returns, liability limitations, indemnification responsibilities, force majeure events, breach consequences, and requirements for written notices.

Orders cannot be altered without written approval and may incur fees if cancelled. Delivery timelines are estimated, not firm commitments, and delays caused by the Purchaser do not hold the Seller accountable. Upon delivery, the Purchaser assumes responsibility for any loss or damage to the Products. Payment terms include potential advance payments, specified due dates, and consequences for late payments or unresolved complaints. The Seller provides warranties for defective parts under certain conditions but is not liable for other damages or the suitability of the Products for specific uses.

GENERAL TERMS & CONDITIONS

Formation of Agreement (Summary)

  • An agreement is formed when the Seller confirms acceptance of the Purchaser’s order in writing.
  • This confirms that the Purchaser agrees to these terms and conditions and waives their own terms.
  • Orders cannot be cancelled or changed without written approval from the Seller and may incur a cancellation fee.

Delivery

  • The Seller will try its best to deliver according to the agreed specifications and timelines, but these are estimates and not strict deadlines.
  • Delays due to the Purchaser’s fault will not be the Seller’s responsibility.
  • The Seller is not liable for any damages caused by a delay in delivery.
  • The Purchaser is responsible for all costs of delayed delivery due to their own actions.
  • Risk of loss or damage to the Products transfers to the Purchaser upon delivery.

Payment

  • The Seller may require an advance payment upon order acceptance.
  • Payment is due within the agreed-upon timeframe or the Seller’s standard terms.
  • The Purchaser cannot suspend payment due to complaints without the Seller’s agreement.
  • The Seller can request additional security for payment if they doubt the Purchaser’s ability to pay.
  • The Purchaser will be charged interest on any late payments.
  • The Seller can refuse to fulfill orders if the Purchaser has not paid for previous orders.

Warranties

  • The Seller warrants that they will repair or replace defective parts for a certain period, free of charge, if certain conditions are met (e.g., timely payments, proper use, etc.).
  • The Seller is not liable for any other damages caused by the Products.
  • The suitability of the Products for the Purchaser’s use is the Purchaser’s responsibility.

Other Important Terms

  • The Purchaser must inspect the Products upon receipt and report any defects to the Seller within 3 days.
  • Products cannot be returned without the Seller’s written consent.
  • The Seller’s total liability is limited to the warranty provided.
  • The Purchaser is responsible for indemnifying the Seller for any damages caused by the Purchaser’s failure to properly inform users of the Products.
  • The Seller is not liable for any damages caused by force majeure events (e.g., acts of God, labor disputes, etc.).
  • The Seller can terminate the agreement and forfeit any advance payment if the Purchaser breaches the agreement.
  • Any notices required under this agreement must be sent in writing to the address on record.
